PerfectWho builds the systems and places the people that help small law firms run beautifully. As part of the team, you help deliver that promise every day. This site pulls the key terms of your engagement into one clear place. It supports your signed agreement, it does not replace it.

Your agreement

Here is a clear summary of the main points in your Independent Contractor Agreement with PerfectWho LLC. The signed agreement always governs. This summary is here to make it easy to understand.

Independent contractor
You are engaged as an independent contractor, not an employee. You control how, when, and where you work, subject to agreed deliverables and deadlines. You are responsible for your own taxes, insurance, and legal compliance, and employee benefits do not apply.
Exclusivity
During the term you provide your services exclusively to PerfectWho. You do not take on sales, prospecting, client acquisition, or similar competing work for anyone else without written consent. Purely personal or unrelated activities that do not compete are fine.
Confidential information
You protect all confidential information about the company and its clients, and you use it only for your work. On request or when the engagement ends, you return or delete it. These obligations continue for two years, and trade secrets stay protected for as long as they qualify under law.
Client protection
During the term and for twelve months after, you do not solicit or take competing business from clients you worked with directly. You can still work generally within the same industry.
No poaching
During the term and for twelve months after, you do not recruit PerfectWho people or contractors you worked with away from the company. General job ads are fine.
Work you create
Everything you create for the company, such as documents, templates, workflows, and content, belongs to the company. Tools and materials you built independently before this engagement stay yours.
Company property
All access, accounts, client records, credentials, and playbooks remain company property. You return or delete them when the engagement ends or when asked.
Term and renewal
Your agreement runs for six months and renews automatically for further six month periods, unless either side gives fourteen days written notice of non renewal.
Ending the engagement
Either side may end the agreement with fourteen days written notice, or immediately for a material breach. If you choose to resign, give at least seven days notice where possible to support a smooth handover. You are paid for properly completed work through your end date.
Governing law
The agreement is governed by the laws of Ohio. Disputes start with good faith negotiation, then move to binding remote arbitration if they are not resolved.

Attendance policy

Reliability is the standard.

We are a team of people providing professional services to clients, and our reputation rests on being dependable. Clients count on timely, consistent, uninterrupted service, so punctuality and attendance sit at the center of how we work.

Time tracking
Track your work hours accurately in Clockify, logging your start and end times for every workday. Compensation is based on the hours you actually work.
Overtime
Overtime requested by a client is paid at your standard rate.
Breaks
If you work less than 8 hours in a day, you get a 30 minute paid break. If you work 8 hours or more, you get a one hour paid break. Schedule your break ahead of time and let the leadership team know, so client work is not disrupted.
Absence notification
If you cannot make your shift, tell the leadership team as soon as possible, ideally at least 4 hours before your start time. Send it on Slack or by email to leadership-team@perfectwho.com with a clear reason. The leadership team handles any client communication about your absence.
Leave requests
For planned leave, submit your request to the leadership team at least 2 weeks in advance. For emergencies, notify them at least 4 hours before your shift.
Policy changes
The company may update this policy when needed, and you will be told about any significant changes.

Consistency is rewarded. Dependable, on time attendance is recognized and encouraged through our attendance incentive schema. Showing up reliably is one of the most valuable things you do.
Payment schedule

When you get paid.

Here is how the payment schedule works. Your specific compensation is set out in your agreement.

Pay dates
5th & 20th
You are paid twice a month, on the 5th and the 20th.
Processing
Up to 72h
Payments may take up to 72 hours to arrive from the scheduled date.
How pay is calculated
Compensation is based on the hours you work, logged accurately in Clockify.
Taxes and reporting
As an independent contractor, you handle your own taxes, contributions, and reporting on the amounts you receive.
